Meeting Minutes: 12.2.2025 Ad-hoc Meeting

A Zoom meeting of the board of directors of Western Mass Climbers Coalition (WMCC, a Massachusetts Nonprofit corporation), was held on December 2, 2025 at 7p ET.
The meeting was called to order by Andrew Neuman, board president, at 7:11pm.

In Attendance: Andrew Neuman, Josh Seamon-Ingalls, Danielle Rao, Ryan Shumeyko, Rob Sullivan, Justin Raphaelson, Ryan Stefiuk, Stephanie Giguere, Jenifer Dickinson, Regina Madden, Nick Friedman (Laura Davis not present)

• Conversation was had with AF – Andy, Ryan, Stephanie, Justin
  • Promissory note down to 1% (3.5% typo)
  • Removed BOD member recourse
  • AF has vested interest in success and has not foreclosed on any properties
  • Brian sent new mortgage document which BOD will need to review
  • MassDOT and AF want maintenance agreement as part of easement with 80%WMCC/20%Nick as owner
• Comments:
  • Rob in favor
  • Justin mentions the difficulty of foreclosure makes it improbable but terms are not favorable to WMCC in event of default
• Vote in favor of AF loan agreement for Rock Property Purchase:
  • Aye – All on call vote yes. Nick not voting, Laura Davis not present
